1. Seller Identification 

These General Terms and Conditions of Sale apply to the sales defined below and carried out by the company STUDIO NEPOMIATZI, a simplified joint-stock company (SASU) with a share capital of €1,000, whose registered office is located at 49 Avenue Victor Hugo, 92140 Clamart, France. The company is registered with the Nanterre Trade and Companies Register under number 851 359 307. Its SIRET number is 85135930700010 and its intra-community VAT number is FR 33 851 359 307. The company can be contacted by phone at +33 (0)6 85 13 62 53. 

2. Scope and Acceptance of the General Terms and Conditions of Sale 

The purchase of products offered on the website https://helenenepomiatzi.com/ (hereinafter the “Website”) and/or by telephone is subject to these General Terms and Conditions of Sale (“General Terms and Conditions of Sale”). 

The Website allows users to order, online via the internet, a selection of products from the brand Hélène Nepomiatzi (hereinafter the “Product(s)”) sold by STUDIO NEPOMIATZI. 

Hélène Nepomiatzi Products are intended exclusively for sale to end consumers, whether individuals or legal entities, and not to resellers or intermediaries acting on behalf of resellers. As such, the customer declares that they are acting as an end consumer and that they do not intend to resell the Hélène Nepomiatzi Products, either directly or indirectly, for commercial purposes. This commitment constitutes an essential condition for STUDIO NEPOMIATZI. 

The customer certifies that they have the legal capacity to enter into the commitments set forth herein. 

STUDIO NEPOMIATZI may update these General Terms and Conditions of Sale at any time. You can view the current version of the General Terms and Conditions of Sale at any time by visiting the “General Terms and Conditions of Sale” section of the Website. The sales contract between you and STUDIO NEPOMIATZI will include the terms of your order and the General Terms and Conditions of Sale applicable at the time of your purchase, to the exclusion of any other general conditions or any implied terms of trade, customer relations, or business practices. 

Furthermore, for each purchase made on the Website, you will be asked to confirm your acceptance of the General Terms and Conditions of Sale in effect at the time your order is placed. These terms will be available for review before and at the time you are asked to confirm your acceptance. To confirm your acceptance, you must check the box stating: “I accept the General Terms and Conditions of Sale (opens in a new window).” 

3. Ordering Terms 

For any questions regarding the Products or your orders, you may contact our customer service at "Contact us" or via email at info@helenenepomiatzi.com. 

The Website allows customers to place online orders with STUDIO NEPOMIATZI for a selection of Products, under the delivery conditions specified below. 

These General Terms and Conditions of Sale do not apply to special orders. For any special order, please contact our Customer Service by clicking on “Contact us” or by email at info@helenenepomiatzi.com. 

However, these General Terms and Conditions of Sale will apply to any purchase of customized products made at your request (see Article 4.2 below). 

4. Product Availability 

4.1. Specific Provisions Regarding Pre-orders 

A pre-order refers to the possibility for the customer to reserve certain Products marked on the Website before their official release date (hereinafter the “Pre-order” or “Pre-ordered Product”). 

4.2. Specific Provisions Regarding Customization 

Customization refers to the option for the customer to adapt or personalize certain Products from the Hélène Nepomiatzi collections (hereinafter “Made to Measure”). 

4.3. Product Availability 

Product offers are valid while stocks last. At the time of order confirmation, there may be a discrepancy between the stock displayed online and the actual physical inventory (for example, in the case of simultaneous orders for the same product by multiple customers). Therefore, sales are subject to the availability of Products in stock. 

Furthermore, Hélène Nepomiatzi retains ownership of the Products until full payment has been received, in accordance with the provisions of Article 7 below. 

The availability date of a Pre-ordered Product will be clearly indicated on the product page. If there is any change to the availability date, you will be promptly informed by email and/or via your customer account. 

In the event a Product becomes unavailable after your order has been placed, we will notify you by email or telephone as soon as possible and offer you the option to either order another Product listed on the Website as a replacement or cancel your order. 

STUDIO NEPOMIATZI accepts no liability in the event of stockouts or unavailability of Products. 

STUDIO NEPOMIATZI reserves the right to modify the selection of Products offered on the Website at any time and without prior notice. 

In order to ensure better service quality and product availability for all its customers, STUDIO NEPOMIATZI reserves the right to limit the quantity of Products that may be purchased by a customer, in accordance with applicable regulations, particularly Article L. 121-11 du Code de la Consommation. 

5. Order Procedure 

5.1. Ordering Process on the Website 

5.1.a) Product Selection 

At any time, you may add Products to your selection by clicking on “Add to Cart.” 

You can view your selection by clicking on “Cart” in the top right menu, where the following will be displayed: photo(s) of the Product(s), color(s) and reference(s), selected quantity(ies), unit price(s), and the subtotal of your selection. 

5.1.b) Identification 

After selecting the Product(s), click on “Checkout” to begin the ordering process. 

A customer account is required in order to place an order on the Website: 

-If you already have an account, you will need to log in by entering your password at this stage. 

-If you do not yet have an account, you will be invited to create one by confirming your email address and setting a password later. 

Your login credentials and password are strictly personal. You therefore agree to keep them secure and never disclose them to any third party. In the event of loss, theft, or fraudulent use of your account, you agree to inform STUDIO NEPOMIATZI immediately. 

Creating an account allows you to: 

-Track your deliveries and view your order history; 

-Add or edit your delivery and billing addresses for future orders; 

-Manage your subscriptions to the Hélène Nepomiatzi newsletter. 

Unless proven otherwise by the customer, the data recorded by the Website constitutes proof of the nature, content, and date of all transactions between STUDIO NEPOMIATZI and its customers. In the event of a dispute between STUDIO NEPOMIATZI and a customer regarding a transaction made on the Website, the data recorded by STUDIO NEPOMIATZI will be considered valid evidence of the transaction’s content, unless the customer provides proof to the contrary. 

You may request the deactivation of your account at any time by emailing Customer Service via the “Contact us” link. 

5.2. Order Validation on the Website 

5.2.a) Delivery Confirmation 

You will be asked to provide the necessary delivery information to ensure your order is shipped correctly: country of delivery, title, first name, last name, phone number, delivery address, and any other required details to process your order. 

5.2.b) Payment Confirmation 

You may use your delivery address as your billing address or enter a different one. You will then be invited to select a payment method (see Article “6. Prices – Accepted Payment Methods”) and enter the relevant payment information. 

At the end of the ordering process described above, and after accepting all the present General Terms and Conditions of Sale and Use, click on the “Pay” button. 

While every effort is made to ensure that the color and pattern of the Products displayed in the photos on the Website accurately reflect the original Products, variations may occur, particularly due to technical limitations in color rendering on your computer or device. STUDIO NEPOMIATZI cannot be held responsible for non-substantial errors or inaccuracies in the photographs or graphic representations of the Products shown on the Website. If you have any questions about the Products, you may contact our Customer Service team. 

For more information regarding payment methods (currencies, accepted forms of payment, etc.), please refer to Article “6. Prices – Accepted Payment Methods” below. 

Once the process is complete, your order is submitted to STUDIO NEPOMIATZI for processing and payment. 

STUDIO NEPOMIATZI reserves the right not to accept an order from a customer with whom there is an ongoing dispute regarding a previous order, or if STUDIO NEPOMIATZI reasonably believes that the customer has violated these Terms and Conditions, engaged in fraudulent activity, or for any other legitimate reason. 

5.2.c) Order Summary 

An order summary will then be sent to you by email (“Your Hélène Nepomiatzi Order”). This summary will include the total amount of the order, delivery cost and time information, essential characteristics, quantity, and the price of the Products purchased. 

We recommend that you save this summary on an electronic device for your records. 

You will then receive an order shipment confirmation email, with your electronic invoice attached. We make every effort to ensure our communications reach you promptly. If you do not receive the shipping confirmation email, we recommend checking your spam folder. 

In accordance with Article L213-1 du Code de la Consommation, for any order of €120 or more, STUDIO NEPOMIATZI retains a copy of the contract concluded electronically between STUDIO NEPOMIATZI and the customer from the date of contract conclusion through to the delivery date, and for a period of ten years thereafter (en conformité avec le décret 2005-137 du 16 février 2005). You may request access to this document at any time by contacting Customer Service and providing proof of identity. 

5.3. Invoices 

Your invoice will be sent by STUDIO NEPOMIATZI in the order shipment confirmation email. We do our best to ensure that our emails are delivered promptly. However, some emails may be marked as spam. Therefore, we recommend checking your spam folder if you have not received your shipment confirmation. 

A customer account is automatically created for each order. 

If you would like to receive a printed copy of your invoice, you may request one from our Customer Service within a maximum period of one (1) month from the date of shipment of your order. 

6. Price – Accepted Payment Methods 

6.1. Price 

The prices of the Products are indicated in Euros, all taxes included. Except in cases of reimbursement made (i) as part of the exercise of the right of withdrawal or (ii) due to lack of conformity or hidden defects, STUDIO NEPOMIATZI will not refund the VAT applied to purchases made on the Site. 

Products are billed based on the prices displayed on the Site at the time your order is placed, subject to availability. 

All orders must be paid in Euros and settled at the time of placing your order. 

6.2. Accepted Payment Methods 

The accepted credit and debit cards are: Visa®, MasterCard®, American Express®, Carte Bleue®, Apple Pay®, PayPal®, and ShopPay. 

Payments by bank card are authenticated and secured via the 3D Secure system. During payment, the bank will request personal information from the customer to verify the cardholder's identity and validate the transaction. 

7. Retention of Title 

The ordered Products remain the property of STUDIO NEPOMIATZI until full payment has been received by STUDIO NEPOMIATZI. 

However, you assume the risks (including loss, theft, or damage) related to the delivered Products as of their delivery to the address indicated when placing the order. 

8. Delivery Terms 

8.1. Delivery to a Postal Address 

We reserve the right to request a signature and a valid form of identification upon delivery (e.g., passport or driver’s license). 

8.2. Delivery Times and Conditions 

The delivery time indicated below starts from the shipping confirmation email of your order. This time may be extended in exceptional circumstances. 

Orders that include a personalized Product are subject to specific delivery timelines, which will be communicated at the time of ordering. 

Hélène Nepomiatzi will make every effort to meet the delivery deadlines stated below. In the event of an unforeseen circumstance causing a delay in delivery, we will inform you as soon as possible. You may then either request a new delivery date or cancel your order and receive a refund. 

Any changes to the delivery terms must be made through the application provided or through our carrier’s website. Otherwise, Hélène Nepomiatzi cannot be held responsible for any failure to comply with the delivery terms outlined below. 

Hélène Nepomiatzi will not be liable for any delays (delivery delays, inability to deliver, return of Products to Hélène Nepomiatzi, etc.) resulting from incorrect and/or incomplete information provided by you for delivery purposes and/or your absence at the time of delivery. 

8.3. Deliveries 

The manufacturing process takes between 1 and 4 months from the time the order is placed, including production and delivery. 

We are pleased to offer free express shipping within France and worldwide. 

9. Delivery Issues 

Any delivery defect or delay exceeding the delivery timeframes mentioned in Article 8.3 must be reported to our Customer Service as soon as possible. 

In the event of a missed delivery deadline, you may require STUDIO NEPOMIATZI to deliver the product within an additional reasonable period. If delivery does not occur within this additional period, you may cancel the order in writing. However, if meeting the delivery deadline was a fundamental condition of your purchase and you made this clear to us, you may cancel the order immediately without granting additional time, in accordance with Article L. 216-6 du code de la consommation. 

STUDIO NEPOMIATZI will then be required to reimburse you in full for all amounts paid, no later than fourteen (14) days from the date the sales contract was terminated. If you receive the Product after exercising this right, you must return it in accordance with the return procedures outlined in Article 11 below. 

You must check the conformity of the Products at the time of delivery and, if possible, note any anomalies (open package, damaged product, etc.) on the delivery slip in the form of handwritten reservations accompanied by your signature. 

You must then contact Customer Service (see Article 3). In case the Products are non-compliant or do not meet your expectations, you may return them or request an exchange or refund under the conditions provided in Articles 10 "Right of Withdrawal" and 11 "Return, Exchange, and Refund Procedures." 

10. Right of Withdrawal 

10.1. Right and Withdrawal Period 

You have a legal right of withdrawal which you may exercise under the conditions provided in Articles L221-18 and L221-20 du Code de la consommation, if you meet the criteria set out in those articles, without needing to provide any reason and without incurring any penalties. 

STUDIO NEPOMIATZI’s general return policy (for refund or exchange requests) allows you to withdraw within thirty (30) days from the date of delivery of the Products, without having to justify your decision and without penalty. After this period, you will no longer be able to exercise your right of withdrawal. 

10.2. How to Exercise the Right of Withdrawal 

We offer the possibility to complete and submit your withdrawal request online by logging into your customer account. You will then promptly receive confirmation of your withdrawal by email. 

You may also send your withdrawal request by contacting our Customer Service or by using the model withdrawal form available in the appendix of these General Terms and Conditions of Sale. 

10.3. Restriction on the Right of Withdrawal 

In accordance with Article L. 221-28 du Code de la consommation, your right of withdrawal does not apply to orders for customized Products. 

10.4. Consequences of Exercising the Right of Withdrawal 

When exercising your right of withdrawal or in case of non-conformity of the Product, you may return the purchased Product(s) and request an exchange or refund under the conditions described in Article 11 below. 

11. Return, Exchange, and Refund Procedures 

11.1. Via the website https://helenenepomiatzi.com/ 

11.1.a) Free Return Procedure 

Products must be returned from the country of Delivery and in accordance with the procedures outlined below. Studio Nepomiatzi will not be held liable for loss, damage, and/or delays related to returns made from a country outside the Delivery Zone and/or that do not comply with the following procedures. 

Any additional charges (taxes and/or customs duties) and/or formalities required to clear the return through customs from a country outside the Delivery Zone will be entirely at your expense. 

When exercising the right of withdrawal, Products must be returned in their original condition and packaging (box and shipping carton), along with their purchase invoice or a copy thereof in the case of a partial return. 

Returns of Products for exchange or refund are free of charge. To do this, you must return the Products using our selected carriers, within a maximum period of thirty (30) days from the date you notified us of your withdrawal. 

11.1.b) Exchange 

If you are requesting an exchange, please indicate in the appropriate field the Product(s) you wish to receive in exchange for your order. 

If you would like the selected Product(s) to be reserved for you, we invite you to contact our Customer Service. If the total price of the replacement Product(s) exceeds that of the returned Product(s), you will need to pay the price difference by credit card using our secure payment service. 

If the total price of the replacement Product(s) is less than the returned Product(s), the price difference will be refunded to you by STUDIO NEPOMIATZI (please note that in the case of gifts, only the purchaser of the gift may request a refund and have their bank account credited). 

As an exception, exchanges are not possible for furniture items or personalized Products. 

11.1.c) Refund 

If you request a refund, it will be processed immediately upon receipt of the returned Product(s). A confirmation email will be sent to you. 

The refund will be made using the same payment method used for the original purchase and in the same currency as used at the time of payment. 

Please note, however, that your bank may take up to ten (10) business days to credit the refund to your card, depending on their processing times. This varies by card issuer, and STUDIO NEPOMIATZI has no control over or ability to speed up this process. 

11.1.d) Gifts Ordered from the Website 

Third-party recipients of gifts ordered from the Site may only exchange Products via the website’s return process. As a result, only the original purchaser of the gift may request a refund under the right of withdrawal (since only the bank account of the person who placed the order can be refunded). 

In such cases, only an exchange for a Product of equal or higher value (with the price difference to be paid by the gift recipient) is possible. The gift recipient must contact our Customer Service, which will process the exchange and send confirmation via email. 

11.1.e) Specific Products Ordered from the Site 

11.2.a) For Products Delivered to a Postal Address 

Any Product purchased from the Site or received as a gift may be exchanged or be eligible for a store credit valid for one (1) year within thirty (30) calendar days of the delivery date, under the following conditions: 

- Returned Products must be in their original condition and packaging; 

- Returned Products must be accompanied by their purchase invoice or a copy in the case of a partial return; 

- The shipping costs of the initial order of a Product purchased from the Site will not be refunded when the Product is returned for an exchange or store credit. 

To request a refund for a Product purchased from the Site as part of exercising your right of withdrawal, you must proceed as indicated in the previous section “11.1.” 

12. Legal and Commercial Guarantees 

12.1. Legal Guarantees 

Products sold by STUDIO NEPOMIATZI are subject to the legal guarantee conditions provided for in Articles L217-4 à L217-14 du Code de la Consommation, and Articles 1641 to 1648 du Code Civil, to the exclusion of all other warranties. 

These legal guarantees apply independently of the commercial warranty mentioned in Article 12.2. 

-Legal Guarantee of Conformity (Articles L217-4 à L217-14 du Code de la Consommation): 

STUDIO NEPOMIATZI undertakes to deliver a Product that conforms to the contract and is free from any conformity defects at the time of delivery. This means the Product must be suitable for the expected use of such an item and possess the characteristics described at the time of sale. 

You may choose to have the Product repaired or replaced, unless one of these options is impossible or would entail disproportionate costs for STUDIO NEPOMIATZI, in which case we may opt for the alternative. In case of a major defect in conformity, you may request a full refund upon returning the Product, or retain the Product and request a partial refund. Repairs, replacements, or refunds will be provided at no cost to you and do not exclude the possibility of claiming damages if applicable. 

-Legal Guarantee Against Hidden Defects (Articles 1641 to 1648 du code civil ): 

STUDIO NEPOMIATZI guarantees that the Product will be free from hidden defects that would render it unfit for its intended use or significantly reduce its usability, such that you would not have purchased it or would have paid less for it had you known about the defects. 

This guarantee applies only if you make a claim within sixty (60) days of receiving your order. 

In the case of a hidden defect, you may return the Product and request a full refund including associated costs, or keep the Product and request a partial refund. You will be responsible for proving that the conditions for the guarantee are met. 

In case of non-conformity or hidden defects, you must return the Product(s) to STUDIO NEPOMIATZI by contacting our Customer Service. 

13. After-Sales Service and Availability of Spare Parts 

Any Product that is technically repairable is eligible for paid after-sales service. For any repair requests, please contact our Customer Service. 

In accordance with Article L 111-3 al 1 du Code de la Consommation, STUDIO NEPOMIATZI does not guarantee the availability period of spare parts essential for the use of the Products. However, we will make every effort to assist customers in case of a request for one or more spare parts. 

14. Limitation of Liability 

Under no circumstances shall STUDIO NEPOMIATZI be held liable for any damages that do not result from a breach of one of its obligations. 

15. Governing Law – Disputes 

These General Terms and Conditions of Sale are governed by and interpreted in accordance with French law. 

In the event of a dispute regarding the application and/or interpretation of these Terms and Conditions, you may first contact our Customer Service (see Article 3). You may also use a conventional mediation procedure or any other alternative dispute resolution method. 

In accordance with Order No. 2015-1033 of August 20, 2015, and Implementing Decree No. 2015-1382 of October 30, 2015, any consumer dispute, subject to Article L612-2 du Code de la Consommation, may be submitted for amicable settlement through mediation by the CMAP – Centre de Médiation et d’Arbitrage de Paris.To submit a dispute to the mediator, the customer may: 

(i) fill out the form on the CMAP website under the tab "You are: a consumer" at www.cmap.fr, 

(ii) send a request by regular or registered mail to CMAP Médiation Consommation, 39 avenue Franklin D. Roosevelt, 75008 PARIS, 

or (iii) send an email to consommation@cmap.fr. 

Whichever method is used, your request must include the following information for swift processing: your postal, email, and telephone contact details, the full name and address of Hélène Nepomiatzi, a brief description of the facts, and proof of prior steps taken with Hélène Nepomiatzi. In the event of a dispute concerning the execution of an order, and if you are a consumer (natural person), you may also access a free mediation service or any other alternative dispute resolution process. You may, if you wish, use the online dispute resolution platform provided by the European Commission in accordance with Article 14 of Regulation (EU) No. 524/2013. This platform is accessible at the following address: https://webgate.ec.europa.eu/odr/. Resorting to mediation is an alternative mechanism and is not a prerequisite for legal action. 

In accordance with Article L.223-1 du code de la consommation, you have the right to register, free of charge, on the Bloctel list of opposition to telephone solicitation (www.bloctel.gouv.fr), to no longer receive unsolicited calls from professionals, except in the context of the performance of an ongoing contract related to its subject matter.
